TENSTORRENT CONTRIBUTION PROGRAM TERMS AND CONDITIONS
Last Updated: October 2026
Please read these terms and conditions (these “Terms”), which form a legally binding contract between Tenstorrent USA, Inc. and its affiliates (“Tenstorrent,” “we,” “us,” or “our”) and qualifying individuals and entities (“Participant,” “you,” or “your”) who wish to participate in Tenstorrent’s contribution program (the “Program”) and help improve our in-scope open-source projects by addressing issues, implementing new features, or resolving performance challenges (“Contributions”). Participants that submit Accepted Contributions (as defined in Section 4) may be eligible to earn a payout (a “Bounty”), as determined solely in Tenstorrent’s discretion, in accordance with these Terms.
These Terms include important clauses, including without limitation, instances where Participants may be liable to Tenstorrent, a class action waiver, and other limitations of your rights and remedies. Disputes will be adjudicated solely in the courts of the State of California.
By submitting any Contributions to Tenstorrent or participating in the Program, you agree to be bound by, and to comply with, these Terms. If a Participant does not wish to, or cannot, comply with these Terms, they are ineligible for a Bounty payout and must not participate in the Program.
1. Overview of the Program
Tenstorrent offers this Program as an initiative for our community members that are helping us to improve our open-source software. The Program is not a competition, offer, contest, sweepstakes or guarantee of work or payment, and it does not create any competitive right or process. No Participant has any right to, or any legitimate expectation of, being assigned any issue, competing for or being considered for any Bounty, or receiving any Bounty or other payment, and nothing in these Terms or in any Program materials, marketing, or repository content shall be construed to create any such right or expectation. Participation is voluntary, and you are solely responsible for, and bear the entire risk of, any time, effort, or expense you choose to invest in the Program, whether or not a Bounty is ultimately awarded. No fees are payable or purchase is necessary to participate in the Program. All Program communication and updates will be shared via the relevant Tenstorrent open-source repository.
This Program is a discretionary initiative. Tenstorrent, in our sole and absolute discretion, may modify these Terms at any time and may modify, restrict, suspend, terminate, or otherwise change any aspect of this Program, including the fulfillment of any Bounty payouts at any time. If Tenstorrent changes these Terms, by continuing to participate in the Program you are deemed to have accepted the changes.
2. How Identified Issues Are Created and Assigned
An Identified Issue (as defined in Section 4) may originate in two ways: (i) Tenstorrent may identify an issue on its own initiative and post it as an open Identified Issue; such issues are generally available to eligible Participants, and assignment is ordinarily made on a first-come basis among eligible Participants where no assignment is already in place; or (ii) an eligible Participant may propose a potential improvement or fix to Tenstorrent; where Tenstorrent, in its sole and absolute discretion, determines that such a proposal has merit, Tenstorrent may create a corresponding Identified Issue and assign it to the Participant who proposed it, without opening that Identified Issue to others.
Tenstorrent is under no obligation to: (i) open any issue to competition, (ii) solicit or accept competing approaches, or (iii) consider any submission for an issue that has already been assigned to another Participant. Any submission directed at an issue that is already assigned, or that was created in response to a proposal by another Participant, is not eligible for a Bounty and may be declined without review. The existence, categorization, scope, and assignment of any Identified Issue are determined by Tenstorrent in its sole and absolute discretion. Tenstorrent may unassign an Identified Issue in its sole and absolute discretion, including, without limitation, where: (i) at least two (2) months have elapsed since assignment, in which case Tenstorrent may unassign at will; (ii) the assigned Participant fails to respond, demonstrates no meaningful activity, or otherwise fails to make progress, in which case Tenstorrent may reassign the Identified Issue to another Participant; or (iii) the submitted work is of low quality or appears to be AI-generated; provided that Tenstorrent may, but is under no obligation to, grant an extension in lieu of unassignment.
3. Participation Eligibility
To be eligible to participate in the Program you must:
be the legal age of majority in your country and have the legal capacity to enter into, and be bound by, these Terms;
if you are participating in the Program as an entity, have the legal authority to accept these Terms on the applicable entity’s behalf (in which case “you” will mean the foregoing entity);
not be subject to legal obligations that prevent you from participating in the Program (for example, under your employment contract or ethical rules);
not be a sanctioned person or a citizen or resident of a sanctioned country under applicable law, including under U.S. embargo or sanctions;
not be in violation of any applicable laws or regulations when participating in the Program;
not ask for payment in exchange for Contributions or dispute the applicability of the Program to you, including the amount of any proposed or actual payment or categorization of a Contribution; and
not be a current employee, vendor, contractor, or agent for Tenstorrent.
You may be required to provide Tenstorrent with proof of compliance and eligibility in the form requested with regard to any of your obligations hereunder. Tenstorrent reserves the right to limit or refuse your eligibility to participate in the Program for any reason in its sole and absolute discretion, including but not limited to where your participation is prohibited by any applicable law. If Tenstorrent becomes aware of any violation of these Terms, Tenstorrent may elect to, among other things, (i) withhold, amend, or cancel the benefits of or payments under the Program or (ii) require return of any payment made to you, including taking any action at law to obtain such payment.
4. Bounty Scope
An “Accepted Contribution” means a merged pull request that addresses an open GitHub issue that is tagged with both (i) “Bounty” and (ii) one of the categories listed at the following URL: https://github.com/orgs/tenstorrent/projects/17/views/5 (the “Bounty Board”) (each such issue, an “Identified Issue”).
Tenstorrent retains sole and absolute discretion to determine whether a Contribution qualifies as an Accepted Contribution, the category into which it falls, and whether, to whom, and in what amount any Bounty is awarded. The assignment and award of all Bounties is made entirely at Tenstorrent’s sole and absolute discretion, and all decisions made by Tenstorrent regarding Bounties are final and binding. Nothing in these Terms obligates Tenstorrent to award any Bounty for any Contribution.
The categories and payment ranges set forth at the Bounty Board reflect Bounties that have been awarded in the past and are provided for general reference only. The actual amount of any Bounty reflects the scope, complexity, difficulty, and value of the work as assessed by Tenstorrent, and Tenstorrent may, in its sole and absolute discretion, award a Bounty in an amount above or below the ranges listed on the Bounty Board, or decline to award any Bounty. Nothing in the Bounty Board entitles any Participant to any particular amount, and Tenstorrent may add, remove, re-categorize, or re-price any issue or category at any time.
5. Bounty Payment
Subject to these Terms, you may receive payments for Accepted Contributions in accordance with Section 4. In order to receive a Bounty payment, you:
must not be in breach of these Terms;
must be assigned on GitHub to the Identified Issue for which you are submitting a pull request, and your pull request must be submitted while you are still assigned to the Identified Issue. You forfeit your right to any Bounty once the Identified Issue is unassigned or re-assigned to another Participant in accordance with Section 2;
must release your Contributions under the license of the repository in which you are submitting a pull request;
must provide additional information as may be required by us (such as payment information) and meet all requirements to receive such Bounty as may be required by applicable law and regulations. If you do not provide such additional information or meet such requirements, we may not provide payment; and
may not designate someone else to receive your Bounty payout.
Bounties are paid in U.S. dollars to your nominated bank account via ACH or wire transfer. Please note that we cannot issue Bounty payouts to individuals, entities, or residents of countries that are listed in the U.S. Department of the Treasury Office of Foreign Assets Control (OFAC) sanctions list.
If Tenstorrent receives multiple qualifying Contributions addressing the same Identified Issue from different Participants, the Bounty will be awarded to the first eligible Contribution received, as determined by Tenstorrent in its sole and absolute discretion. Any subsequent Contributions addressing the same Identified Issue will be treated as duplicates and will not be eligible for a Bounty, except that where a duplicate provides new information previously unknown to Tenstorrent, we may, at our sole and absolute discretion, award a differential. There is no limit on the number of qualifying Contributions you may submit and potentially be paid for.
Only a Participant who is currently assigned to an Identified Issue is eligible to receive a Bounty for that Identified Issue. Tenstorrent has no obligation to review, accept, respond to or compensate any: (i) unsolicited submission, (ii) submission for an issue that is not open, or (iii) submission for an issue already assigned to another Participant; any such submission may be closed or declined at Tenstorrent’s sole and absolute discretion. Submitting or working on a Contribution, whether or not assigned, creates no entitlement to payment and no obligation on the part of Tenstorrent.
Any Bounty that you are unable or unwilling to accept, that you waive, or that remains unclaimed for more than six (6) months from the date of our payment notification may be rescinded and rendered ineligible for issuance. At our sole and absolute discretion, we may donate the value of any waived or otherwise ineligible Bounty consistent with our charitable giving practices.
You will be solely responsible for all tax liabilities that arise from or in any way relate to any benefit or payment that Tenstorrent conveys to you, including income taxes, sales, personal property, use, VAT, excise, withholding and self-employment taxes. Tenstorrent has the right to withhold from any amounts payable to you such foreign, federal, state or local taxes as may be required to be withheld under any applicable law. You agree to report the value of the benefit or payment you receive from Tenstorrent to all applicable tax authorities and complete any required tax forms that Tenstorrent requests be completed prior to receiving your benefit or payment. If you do not complete and return the required forms within thirty (30) calendar days of our request, or within any other period specified in our notification, we may decline to make payment.
6. Coordinated Disclosure and Confidentiality
If you inadvertently access another user’s data or any Tenstorrent non-public data while participating in the Program, you must promptly cease any activity that might result in further access, notify us at bounties@tenstorrent.com describing what was accessed, and then delete that information from your systems. You must not share inadvertently accessed information with anyone else, and you must acknowledge the inadvertent access in any related Contribution you submit. Under no circumstances may you publicly disclose, publish, or otherwise disseminate any technical details pertaining to suspected or verified security flaws, vulnerabilities, zero-days, exploit payloads, or proof-of-concept (PoC) code associated with Tenstorrent’s infrastructure, hardware, or software without Tenstorrent’s explicit prior written authorization.
7. Your Obligations
You shall:
participate in the Program solely for the intended purpose of submitting Contributions to Tenstorrent as described in these Terms and any related documentation;
participate in the Program for lawful purposes only and comply with all applicable laws and regulations; and
only access, disclose or modify your own user data and be solely responsible for the accuracy, completeness, appropriateness, and legality of any data or Contributions you upload or provide through your participation in the Program.
You shall not:
attempt to gain access to another user’s account or data;
transmit any viruses or exploits through your participation in the Program;
upload, input, access, store, distribute or otherwise make available any material that: (i) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; (ii) facilitates illegal activity; (iii) is otherwise illegal (including without limitation infringement of any third party intellectual property rights or any other rights); or (iv) causes damage or injury to any person or property; or
upload or input or otherwise disclose to Tenstorrent any information which you do not have the rights to or which you are under an existing contractual or other legal obligation to maintain in confidence.
8. Intellectual Property Rights
You acknowledge and agree that all your Contributions under the Program shall be released under the license of the repository in which you are submitting a pull request. You represent and warrant that your submission of any pull request is your own work, that you have not used information owned by another person or entity in violation of that person’s or entity’s rights or any applicable license, and that you have the legal right to submit the pull request to Tenstorrent.
Your rights with respect to our software, related documentation, and any updates, developments, or improvements thereto are governed by the license included in the applicable GitHub repository.
9. Your Information
You will provide us with all information as we may reasonably require for you to participate in the Program and, where relevant, receive a Bounty award. Tenstorrent shall use the information you provide us to administer the Program, tender Bounty payouts, and comply with applicable law, in accordance with Tenstorrent’s Privacy Notice available at https://tenstorrent.com/privacy. Except for our obligations under applicable data protection laws with respect to our processing of any personal data you may provide us through your participation in the Program, we disclaim all liability of any kind with respect to (i) any information, data or materials you upload or otherwise provide through your participation in the Program, (ii) third party information, (iii) any other material or services which may be accessed when participating in the Program, or (iv) any fraud committed in connection with the Program.
10. Fraud and Abuse
If any person supplies false information, participates by fraudulent, deceptive, or automated means, or is otherwise determined by Tenstorrent to be in violation of these Terms, Tenstorrent may, in its sole and absolute discretion, disqualify that person, void any purported participation, withhold or require the return of any Bounty, and seek damages, including through any action at law. In the event of a dispute concerning the identity of a Participant, the dispute must be resolved to Tenstorrent’s satisfaction, failing which the related participation will be disqualified.
11. Program Administration and Moderation
Tenstorrent administers the Program and its repositories at its sole and absolute discretion. Tenstorrent may, at any time, with or without notice and without any obligation to provide a reason or explanation, decline, reject, flag, hold, remove, or close any submission. Tenstorrent may also limit, suspend, restrict, block, or terminate any Participant’s access to or participation in the Program or any Tenstorrent repository. Because the Program receives automated, bot-generated, duplicative, or out-of-scope activity, submissions, particularly those directed at issues that are not open or are already assigned, may be subject to heightened review, and may be flagged or set aside as part of that review.
The imposition, removal, reversal, or reinstatement of any flag, block, suspension, or restriction is a routine administrative measure and does not constitute, and shall not be construed as, an admission or evidence that any prior or subsequent action by Tenstorrent was wrongful, retaliatory, unjustified, or in breach of these Terms. A Participant who believes a flag, block, or other measure was applied in error may contact Tenstorrent at bounties@tenstorrent.com for review. Tenstorrent will consider such requests but is under no obligation to alter any determination.
Certain actions that community members are able to take through third-party platforms such as GitHub and Discord are functions made available by those platforms rather than by Tenstorrent, and such actions are not always reviewed by Tenstorrent staff immediately and do not reflect Tenstorrent’s tacit approval, endorsement, sanctioning, or ratification.
12. Relationship of the Parties
Nothing in these Terms, or in a Participant’s activity in the Program, creates any employment, agency, partnership, joint venture, contractor, or fiduciary relationship between any Participant and Tenstorrent, and no Participant is, or shall be deemed to be, an employee, agent, vendor, contractor, or representative of Tenstorrent by reason of participating in the Program or receiving a Bounty. No Participant has any authority to administer the Program, to review, assign, or decide submissions, Identified Issues, or Bounties, to act for or bind Tenstorrent, or to speak on Tenstorrent’s behalf. Comments, reviews, flags, votes, or other activity by Participants or other community members are their own and do not represent, and are not authorized, endorsed, or ratified by, Tenstorrent, and Tenstorrent is not responsible or liable for the conduct of any Participant or community member.
No Participant is, or shall be deemed to be, an employee, agent, vendor, contractor, or representative of Tenstorrent by reason of participating in the Program or receiving a Bounty. For the avoidance of doubt, the number of Contributions a Participant is assigned, submits, or has accepted, and the frequency or duration of a Participant’s participation, are no indication of, and do not create, any employment, agency, partnership, joint venture, contractor, or fiduciary relationship with Tenstorrent, regardless of how many Contributions are assigned or over what period.
13. No Warranties
TENSTORRENT MAKES NO WARRANTIES, GUARANTEES OR CONDITIONS, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROGRAM. YOU UNDERSTAND THAT YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR OWN RISK. TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAW, WE EXCLUDE ANY IMPLIED WARRANTIES IN CONNECTION WITH THE PROGRAM. YOU MAY HAVE CERTAIN RIGHTS UNDER YOUR LOCAL LAW. NOTHING IN THESE TERMS IS INTENDED TO AFFECT THOSE RIGHTS, IF THEY ARE APPLICABLE.
14. Indemnification and Limitation of Liability
Should your participation in the Program be found to breach legal obligations you may have with other third parties or any other rights or in the event of a breach of these Terms, we may terminate your participation in the Program and may further deem you to be ineligible for a Bounty payment. You agree to defend, indemnify and hold harmless Tenstorrent and its affiliates and their respective officers, directors, employees, agents, licensors, and suppliers, from and against all claims, actions or demands, liabilities, and settlements, including, without limitation, reasonable legal and accounting fees, arising in connection with such breach.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, (A) WE SHALL NOT BE LIABLE TO YOU FOR ANY DAMAGES, CLAIMS, EXPENSES OR OTHER COSTS (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) YOU SUFFER OR INCUR AS A RESULT OF THIRD-PARTY CLAIMS RELATING TO YOUR PARTICIPATION IN THE PROGRAM, (B) UNDER NO CIRCUMSTANCES WILL WE BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, AND (C) OUR MAXIMUM AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL BE LIMITED TO ONE HUNDRED U.S. DOLLARS (US$100), REGARDLESS OF THE CAUSE. WE DO NOT EXCLUDE OR LIMIT OUR LIABILITY FOR FRAUD OR FOR ANY OTHER LIABILITY WHICH CANNOT BE LIMITED OR EXCLUDED BY APPLICABLE LAW.
15. Issues
If you encounter any issues with your participation in the Program, please reach out to us at bounties@tenstorrent.com.
16. Applicability of These Terms
These Terms shall apply for as long as you are participating in the Program pursuant to these Terms. Cancellation of the Program, termination of these Terms, or your explicit withdrawal from the Program shall not affect Tenstorrent’s rights and your obligations under these Terms prior to such cancellation, termination, or withdrawal, which shall continue to apply, unless otherwise agreed in writing.
17. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of California and any federal laws applicable therein and shall be binding upon the parties hereto in California and worldwide. The parties consent to the exclusive jurisdiction of the state and federal courts located in Santa Clara County in the State of California for any dispute arising out of these Terms. Except where prohibited, as a condition of participating in this Program, each Participant agrees that between the parties, any and all disputes, claims, and causes of action arising out of or connected with this Program, or any Bounty must be resolved individually, without resort to any form of class action.
18. General
These Terms will be binding on and will inure to the benefit of the legal representatives, successors and assigns of the parties hereto. These Terms (and any policies referenced herein and incorporated by reference) constitute the entire agreement between you and us with respect to the subject matter hereof, and you have not relied upon any promises or representations by us with respect to the subject matter except as set forth herein. You may not assign these Terms or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law. Tenstorrent may assign these Terms without restriction. The governing language of these Terms is English. A person who is not a party to these Terms has no rights to enforce, or to enjoy the benefit of, any term of these Terms, except that the persons indemnified under Section 14 may enforce Section 14. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. No failure or delay by Tenstorrent in exercising any right under these Terms will operate as a waiver of that right.
